NDA Basics for Freelancers

What an NDA usually covers and what to review before sharing or receiving confidential information.

01

Mutual versus one-way

A mutual NDA anticipates both sides sharing protected information. A one-way NDA is structured around one principal discloser and one receiver.

02

Define confidential information

The definition can cover written, oral, visual, technical, financial, customer, product, or other information. Check whether marking or identification requirements apply.

03

Look for standard exclusions

Common exclusions include information already known, independently developed, publicly available, or lawfully received from another source.

04

Duration and return obligations

An NDA may state how long confidentiality duties last and what happens to documents or copies when discussions end. Trade-secret obligations may be treated differently.

05

Required disclosure

Many NDAs allow disclosure when legally required, often with notice to the disclosing party where permitted.
