Contract Red Flags Freelancers Should Notice

A focused checklist for project scope, payment, ownership, revisions, termination, and liability.

01

Vague scope and unlimited revisions

Define deliverables, milestones, dependencies, revision rounds, and what counts as out-of-scope work. Ambiguity can turn a fixed project into an open-ended obligation.

02

Payment without timing

A fee is only part of the payment clause. Look for deposits, invoice timing, due dates, acceptance conditions, expenses, taxes, late charges, and what happens if work pauses for non-payment.

03

Ownership before payment

IP clauses can transfer deliverables immediately or only after full payment. They may also address pre-existing tools, portfolio rights, open-source components, or client materials.

04

One-sided termination

Check whether either side can end the engagement, how much notice is required, and what happens to completed work, deposits, committed costs, and unpaid invoices.

05

Broad liability or indemnity

Read any indemnity, warranty, and liability language in context. A short freelance fee does not automatically mean the contractual exposure is equally small.
