What Should a Freelance Contract Include?

A practical checklist of scope, payment, intellectual property, confidentiality, revisions, termination, and project-management terms.

01

Identify the parties and project

State who is providing the services, who is hiring them, and what project or engagement the agreement covers.

02

Define scope and changes

Describe deliverables, milestones, assumptions, dependencies, revision limits, and how out-of-scope work or change requests will be approved and priced.

03

Set payment mechanics

Include fees, deposit requirements, invoicing, due dates, expenses, taxes, late-payment consequences, and any acceptance conditions that affect payment.

04

Address ownership and confidentiality

Explain ownership of final deliverables, pre-existing materials, licenses, portfolio use, client materials, and confidential information.

05

Plan for endings

Include termination rights, notice, payment for completed work, treatment of deposits and committed costs, handover duties, and clauses that continue after termination.
